02 / business clients only
Business clients only
Website-Me provides services under these terms to clients acting in the course of a business, trade or profession.
These terms are not intended to govern services purchased wholly or mainly for personal, family or household purposes.
If a prospective client is not acting for business purposes, separate terms must be agreed before work begins.
03 / the agreement
The agreement
The agreement between Website-Me and the client consists of:
- the relevant signed or accepted proposal, quotation, statement of work or other project-specific agreement;
- any project-specific written variations subsequently agreed;
- these Client Service Terms; and
- any additional schedules or data-processing terms expressly incorporated into the agreement.
If there is a conflict, project-specific written terms agreed between the parties will take priority over these general Client Service Terms to the extent of that conflict.
Nothing on the public Website-Me website, in marketing material or in an informal discussion changes the agreed scope unless it is incorporated into the project agreement.
04 / scope of services
Scope of services
Website-Me will provide the services described in the agreed proposal, quotation or statement of work.
The scope should identify, where relevant:
- deliverables;
- services included;
- exclusions;
- assumptions;
- project stages;
- fees;
- payment arrangements;
- target timescales; and
- responsibilities of each party.
Website-Me will provide the agreed services with reasonable care and skill.
Unless expressly agreed in writing, Website-Me is not responsible for work, functionality, content, integrations or deliverables outside the agreed scope.
05 / changes and additional work
Changes and additional work
Projects sometimes change after work begins.
If the client requests work outside the agreed scope, Website-Me may:
- provide a separate quotation;
- agree an additional fee;
- agree an amended scope or timetable; or
- decline the additional work.
Website-Me will obtain approval before carrying out material additional chargeable work.
Small adjustments that Website-Me reasonably considers part of the agreed scope do not necessarily require a formal variation.
A change to scope may affect the project timetable, fees or both.
06 / client responsibilities
Client responsibilities
The client must provide the information, materials, access and decisions reasonably required for Website-Me to carry out the work.
Depending on the project, this may include:
- website or server access;
- CMS access;
- domain or DNS access;
- analytics and advertising access;
- API or third-party system access;
- brand assets;
- product or service information;
- copy, images or other content;
- technical documentation;
- approvals; and
- feedback.
The client is responsible for ensuring that information it provides is accurate and that instructions given to Website-Me are authorised.
The client must not ask Website-Me to carry out unlawful, misleading, infringing or fraudulent activity.
07 / client delays and approvals
Client delays and approvals
Project timescales depend on both parties completing their responsibilities.
If the client delays providing content, access, feedback, approval or other required information, Website-Me will not be responsible for the resulting delay.
A material client delay may require Website-Me to reschedule work around other commitments and provide a revised project timetable.
Approvals given by the client's authorised contacts by email, CRM, project-management system or other agreed written method may be relied upon by Website-Me.
08 / fees and payment
Fees and payment
Fees and payment stages will be set out in the relevant proposal, quotation or invoice.
Where a deposit or initial payment is required, Website-Me may wait until that payment has cleared before beginning work.
Unless another due date is stated in the proposal or invoice, invoices are due within 30 days of the invoice date.
Fees are exclusive of VAT where VAT is legally chargeable.
The client must notify Website-Me promptly if it genuinely disputes an invoice and explain the reason for the dispute.
An undisputed part of an invoice remains payable when due.
09 / late payment
Late payment
Website-Me reserves its rights under the Late Payment of Commercial Debts (Interest) Act 1998 and related legislation.
Where applicable, Website-Me may claim:
- statutory interest on overdue commercial debts;
- the statutory fixed sum for recovery costs; and
- reasonable additional debt-recovery costs where permitted by law.
Website-Me may also suspend further work on materially overdue accounts after notifying the client.
Suspension for non-payment may affect previously indicated delivery dates.
10 / expenses and third-party costs
Expenses and third-party costs
The client is responsible for third-party charges that it has approved or that are identified as client costs in the project agreement.
These may include:
- domain registrations;
- website hosting;
- paid themes;
- plugins;
- stock imagery;
- fonts;
- software licences;
- APIs;
- advertising spend;
- cloud services;
- AI services;
- email services; and
- other third-party platforms.
Website-Me will not intentionally incur material third-party costs on the client's behalf without appropriate approval.
Unless expressly stated otherwise, recurring third-party subscriptions and renewal charges remain the client's responsibility.
11 / third-party platforms and services
Third-party platforms and services
Website-Me may configure, integrate with, recommend or use third-party products and services.
Those services are operated independently and may change their:
- prices;
- APIs;
- functionality;
- policies;
- availability;
- technical requirements; or
- terms of service.
Website-Me does not control third-party services and cannot guarantee their continued availability or behaviour.
Website-Me will not be responsible for an outage, restriction, account suspension, platform change or other failure caused by a third-party provider, except to the extent that Website-Me has itself breached the agreement.
Additional work required because a third-party platform changes after implementation may be chargeable.
12 / domains, hosting and infrastructure
Domains, hosting and infrastructure
Unless the project agreement says otherwise:
- domain names should be registered in the client's name or under an account controlled by the client;
- the client is responsible for renewal of its domains and third-party services;
- hosting and infrastructure arrangements are subject to the terms of the relevant provider; and
- Website-Me does not guarantee uninterrupted availability of third-party hosting, DNS, email, CDN or infrastructure services.
Where Website-Me manages hosting or infrastructure as part of an agreed service, the applicable scope and charges will be stated separately.
The client should maintain control of important business accounts and ensure that account recovery details remain current.
13 / client-provided materials
Client-provided materials
The client retains ownership of material it supplies to Website-Me.
The client confirms that it has the necessary rights and permissions to allow Website-Me to use materials supplied for the project.
This includes, where applicable:
- logos;
- trademarks;
- photographs;
- video;
- text;
- databases;
- product information;
- customer data;
- software;
- fonts; and
- other intellectual property.
Website-Me is not responsible for claims caused by the client's unauthorised use or supply of third-party material, except to the extent that Website-Me knew or reasonably should have known that the proposed use was unlawful.
14 / website-me intellectual property
Website-Me intellectual property
Website-Me retains ownership of intellectual property that existed before the project or that is developed as reusable Website-Me material rather than specifically and exclusively for the client.
This may include:
- development methods;
- know-how;
- libraries;
- frameworks;
- utilities;
- scripts;
- reusable code;
- components;
- templates;
- internal tools;
- automation methods; and
- general techniques or processes.
Website-Me may continue to use, develop and license these materials for other projects.
Nothing in the agreement transfers ownership of Website-Me's underlying tools, reusable materials or know-how unless expressly agreed in writing.
15 / project deliverables and intellectual property
Project deliverables and intellectual property
The proposal or statement of work should state the intended ownership or licensing arrangement for material created specifically for the client.
Unless the project agreement expressly provides for an assignment of copyright, Website-Me grants the client, once all fees due for the relevant work have been paid, a perpetual, non-exclusive licence to use the final bespoke deliverables for the purposes for which they were supplied.
Where the project agreement expressly states that copyright in specified bespoke deliverables will be transferred to the client, Website-Me will complete an appropriate written assignment after payment in full.
Any assignment or licence is subject to:
- Website-Me's pre-existing and reusable materials;
- third-party intellectual property;
- open-source software;
- third-party licence conditions; and
- any other exclusions identified in the project agreement.
No intellectual-property rights transfer before the relevant fees have been paid in full unless expressly agreed otherwise.
16 / open-source and third-party software
Open-source and third-party software
Projects may contain open-source software or third-party code, libraries, plugins or components.
Those items remain subject to their own licences and are not transferred to the client as Website-Me-owned intellectual property.
The client agrees to comply with applicable third-party licence terms when using those components.
17 / portfolio use
Portfolio use
Unless agreed otherwise in writing, Website-Me may identify the client as a customer and display non-confidential completed work for portfolio, case-study or promotional purposes after the work has been made public by the client.
Website-Me will not deliberately disclose confidential client information as part of a portfolio example.
A client that requires the engagement itself to remain confidential should agree this with Website-Me in writing.
18 / seo services
SEO services
Search engines are operated by independent third parties and their algorithms, policies, interfaces and search results change over time.
Website-Me will provide agreed SEO services with reasonable care and skill but does not guarantee:
- a particular ranking;
- a particular ranking position;
- indexing of any specific page;
- a particular level of organic traffic;
- a particular click-through rate;
- leads;
- sales;
- revenue; or
- any other specific commercial outcome.
SEO recommendations may involve testing, implementation and ongoing measurement.
A search engine may change its systems or treatment of a website independently of work carried out by Website-Me.
19 / geo and ai search visibility
GEO and AI search visibility
Generative search systems, AI assistants, answer engines and related platforms are operated by third parties.
Website-Me may make recommendations intended to improve the clarity, accessibility, authority or machine-readability of information, but does not control how an AI or search platform selects, summarises, cites or omits content.
Website-Me does not guarantee:
- inclusion in an AI-generated answer;
- an AI citation;
- visibility within a particular AI product;
- a particular generated description;
- referral traffic from an AI service; or
- any resulting commercial outcome.
20 / ai and automation services
AI and automation services
Where Website-Me provides AI, automated workflows or generated outputs, the client acknowledges that automated systems can produce unexpected, incomplete or inaccurate results.
The appropriate level of human review will depend on the purpose and risk of the automation.
Unless expressly agreed otherwise, the client remains responsible for reviewing and approving AI-generated content or outputs before relying on them for important business decisions or publishing them.
Website-Me does not guarantee that a third-party AI model or automation platform will remain available, behave consistently or produce identical results over time.
21 / analytics and measurement
Analytics and measurement
Website-Me may implement or advise on analytics, tracking, attribution or reporting systems.
Website-Me does not guarantee that analytics platforms will record every interaction or that data reported by separate platforms will reconcile exactly.
Differences may arise because of factors including:
- consent settings;
- browser restrictions;
- ad blockers;
- attribution models;
- sampling;
- platform methodologies;
- tracking prevention;
- JavaScript execution;
- bots; and
- third-party system changes.
Unless expressly included in scope, the client remains responsible for deciding what measurement and consent arrangements are appropriate for its business.
22 / legal and regulatory content
Legal and regulatory content
Website-Me may assist with implementing website functionality, content or technical changes connected with privacy, accessibility, cookies, terms, regulatory information or other compliance matters.
Unless expressly agreed otherwise, Website-Me is not engaged as the client's solicitor, accountant, compliance adviser or other regulated professional.
The client remains responsible for obtaining appropriate professional advice where required and for approving its final legal, regulatory and compliance position.
Website-Me will not knowingly implement unlawful instructions.
23 / data protection
Data protection
Each party must comply with the data-protection laws that apply to its own activities.
Where the client provides personal information to Website-Me, the client is responsible for ensuring that it has an appropriate lawful basis and authority to provide that information and to instruct Website-Me to process it.
Where Website-Me processes personal information solely on the client's behalf as a processor, the parties will put in place any data-processing terms required by applicable data-protection law.
Those terms may address matters including:
- processing instructions;
- confidentiality;
- security;
- subprocessors;
- assistance with rights requests;
- data breaches;
- deletion or return of data; and
- international transfers.
Nothing in these terms requires Website-Me to process personal information in a way that would breach applicable law.
24 / confidentiality
Confidentiality
Each party may receive confidential information belonging to the other during a project.
Each party agrees to:
- use confidential information only for the purposes of the project;
- take reasonable steps to protect it;
- disclose it only to people who reasonably need it for the work; and
- not disclose it to third parties except where authorised or legally required.
- is already public through no breach of the agreement;
- was lawfully known before disclosure;
- is received lawfully from another source without a confidentiality restriction; or
- must be disclosed by law or a competent authority.
This does not apply to information that:
These confidentiality obligations continue after the project ends.
25 / security and backups
Security and backups
Website-Me will take reasonable care when working with client systems and credentials.
The client should maintain appropriate backups of important systems and information unless Website-Me has expressly agreed in writing to provide and manage backups as part of the service.
Before Website-Me performs work that carries a material risk of affecting a live system, the parties should agree any necessary access, backup or deployment arrangements appropriate to that work.
Neither party should knowingly share credentials or information in an unnecessarily insecure way.
26 / subcontractors and service providers
Subcontractors and service providers
Website-Me may use appropriate subcontractors, specialist suppliers or cloud services to help deliver the agreed services.
Website-Me remains responsible for its own obligations under the agreement when using subcontractors.
Where a provider will process personal information on behalf of the client, applicable data-protection requirements also apply.
27 / timetables
Timetables
Any project timetable is based on information reasonably available when it is agreed.
Unless expressly described as a fixed contractual deadline, project dates are targets rather than guarantees.
Website-Me will take reasonable steps to meet agreed timescales but will not be responsible for delay caused by:
- client delay;
- changes to scope;
- third-party providers;
- unavailable access or information;
- events outside Website-Me's reasonable control; or
- other dependencies that Website-Me does not control.
If a material delay occurs, Website-Me will communicate a revised timetable where reasonably possible.
28 / testing and acceptance
Testing and acceptance
Where appropriate, Website-Me will test deliverables before release or handover.
The client is responsible for carrying out any client acceptance or user-acceptance testing identified in the project plan and for checking that agreed business requirements are met.
The client should notify Website-Me promptly of any material issue discovered during review.
Website-Me must be given a reasonable opportunity to investigate and correct a defect that amounts to a failure to provide the agreed services with reasonable care and skill.
Requests for new features or changes to an agreed requirement are changes of scope rather than defect corrections.
29 / suspension
Suspension
Website-Me may suspend work where reasonably necessary if:
- an invoice is materially overdue;
- the client fails to provide information or access needed to continue;
- continuing work would create a material security risk;
- Website-Me reasonably believes an instruction is unlawful;
- the client materially breaches the agreement; or
- a third-party service required for the project becomes unavailable.
Where appropriate, Website-Me will notify the client and provide a reasonable opportunity to resolve the issue.
Suspension may affect the project timetable.
30 / termination
Termination
Either party may terminate an ongoing engagement in accordance with any termination provisions stated in the project agreement.
Where the project agreement does not specify a separate termination procedure, either party may terminate the engagement by giving reasonable written notice.
Website-Me may terminate immediately where continuing the work would be unlawful or where there is a serious breach that cannot reasonably be remedied.
For other material breaches, the party in breach should normally be given a reasonable opportunity to remedy the breach before termination where the breach is capable of remedy.
31 / fees when a project ends
Fees when a project ends
Termination does not remove the client's obligation to pay for:
- work properly completed up to the termination date;
- work in progress that has reasonably been carried out;
- approved third-party charges;
- non-cancellable commitments entered into for the project; and
- any other amount already due under the agreement.
Website-Me will not charge for work that has not been carried out unless the project agreement expressly provides otherwise or Website-Me has already incurred a non-refundable cost or commitment.
Any deposit or advance payment will be applied against amounts properly due.
Following payment of outstanding amounts, Website-Me will provide completed client deliverables that the client is entitled to receive under the agreement.
32 / warranties
Warranties
Website-Me warrants that it will provide the agreed services with reasonable care and skill.
Except where expressly stated in the project agreement, Website-Me does not warrant that:
- a website or system will operate without interruption;
- software will be completely free from defects;
- a third-party platform will remain available;
- a particular commercial result will be achieved; or
- services controlled by third parties will continue to work in the same way.
Nothing in this section limits obligations that cannot lawfully be excluded.
33 / liability
Liability
Nothing in these terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be excluded or limited.
- indirect or consequential loss;
- loss of profit;
- loss of revenue;
- loss of anticipated savings;
- loss of business opportunity;
- loss of goodwill; or
- loss caused by a third-party platform or service outside Website-Me's reasonable control,
Subject to those exceptions and to the extent permitted by law, Website-Me will not be liable for:
except to the extent that such loss cannot lawfully be excluded.
Unless a different liability cap is expressly agreed in the relevant project agreement, Website-Me's total aggregate liability arising out of or in connection with a project will not exceed the total fees paid or payable to Website-Me for that project.
Each party must take reasonable steps to minimise losses arising from a breach.
This section is intended to allocate commercial risk between businesses and applies only to the extent that it is reasonable and enforceable under applicable law.
34 / events outside reasonable control
Events outside reasonable control
Neither party will be responsible for delay or failure caused by an event outside its reasonable control.
This may include, where applicable:
- widespread hosting or cloud outages;
- telecommunications failures;
- major cyber incidents not caused by that party;
- failure of essential third-party infrastructure;
- natural disasters;
- fire;
- flood;
- epidemic;
- industrial action;
- government action; or
- other comparable events.
The affected party should notify the other where reasonably practicable and take reasonable steps to reduce the impact.
35 / non-reliance on estimates and forecasts
Non-reliance on estimates and forecasts
Any estimate, projection, forecast or anticipated outcome provided during a project is based on information available at the time.
Unless expressly incorporated as a contractual commitment, projections relating to:
- traffic;
- rankings;
- conversion rates;
- revenue;
- savings;
- performance;
- AI visibility;
- project impact; or
- other future results
are estimates rather than guarantees.
36 / communications and notices
Communications and notices
Routine project communication may take place by email, CRM, project-management system or another agreed channel.
Formal notices relating to material breach or termination should be made in writing by email to the normal business contact of the other party unless another notice method is specified in the project agreement.
A party should notify the other if its principal contact details change.
37 / assignment
Assignment
The client may not transfer the agreement to another party without Website-Me's written consent, such consent not to be unreasonably withheld.
Website-Me may assign or transfer the agreement as part of a genuine transfer or reorganisation of the Website-Me business, provided this does not materially reduce the client's contractual rights.
38 / no partnership or agency
No partnership or agency
The agreement does not create a partnership, joint venture, employment relationship or agency between Website-Me and the client.
Neither party has authority to bind the other unless expressly agreed in writing.
39 / no waiver
No waiver
If either party delays exercising a contractual right, that does not mean the right has been waived.
A waiver relating to one breach does not automatically waive a later breach.
40 / severability
Severability
If a court or other competent authority finds part of the agreement invalid or unenforceable, the remaining provisions will continue to apply so far as legally possible.
41 / entire agreement
Entire agreement
The project agreement and documents expressly incorporated into it form the entire agreement for the relevant services.
Each party acknowledges that it has not relied on statements or promises that are not contained in the agreement, except that nothing in this section limits liability for fraud or fraudulent misrepresentation.
42 / changes to these client service terms
Changes to these Client Service Terms
Website-Me may update these standard terms from time to time.
Changes to the terms published on the Website-Me website will apply to new engagements from the stated effective date.
They will not retrospectively alter an existing project agreement unless the client and Website-Me agree the change.
43 / governing law and jurisdiction
Governing law and jurisdiction
The agreement and any non-contractual obligations arising from or connected with it are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over disputes arising from or connected with the agreement.
